你能够宣称公司遇到“不可抗力”事件吗？新冠肺炎疫情爆发对全球供应链造成破坏，中国的许多公司被迫寻求免除自己的合同义务。

Can you declare “force majeure”? The COVID-19 outbreak has caused disruption to global supply chains, and many companies in China have been forced to exempt themselves from contractual obligations.

自2020年4月20日以来，中国企业一共签发了6900亿元人民币的不可抗力事实性证书。如果你的生意也受到了影响，你该怎么办？

Since 20 April 2020, a total of RMB 690 billion of force majeure certificates have been issued by Chinese companies. What should you do if your business is affected?

1. 检查合同的不可抗力条款（如有），以确认是否有权在不可抗力事件中终止合同。

Check the contractual force majeure clause, if any, to confirm if there is a contractual right to terminate in a force majeure event.

2. 要构成不可抗力事件，需要证明新冠肺炎疫情的爆发或相关的政府措施是不可预见、无法避免和无法克服的。

You need to prove the outbreak of COVID-19, or the relevant government measure, was unforeseeable, unavoidable and insurmountable – this constitutes a force majeure event.

3. 提出一方还需要证明事件妨碍了合同中特定义务的履行，才能构成不可抗力事件。

You also need to prove this prevents the performance of a particular obligation within the contract.

4. 提出一方有义务在合理期限内或在可行的情况下尽快发出不可抗力事件的通知，并提供证据。

You are obliged to give a timely notice of the force majeure event and provide evidence within a reasonable time limit, or as soon as practicably possible.

5. 企业应该考虑采取更具弹性的措施，例如使用预付方式，以尽量节约资本。

Businesses should make considerations for future resilience, such as by using prepaid options to conserve as much capital as possible.
